Terms of Service
1. License Grant
Subject to these Terms, we (i.e., Exhibit Flow, LLC) grant you a limited, non-exclusive, non-transferable, non-sublicensable license to install and otherwise use the Software and member section of this website solely for your internal business or personal purposes, based on the number of active seats you have subscribed to.
2. Subscription and Billing

The Software is offered via a seat-based subscription model, offered as a monthly or annual subscription on a per seat basis (e.g., a 2-seat monthly subscription at an advertised $4.99 price point would be $9.98 plus applicable tax and subject to a monthly billing period).

One seat provides access to the Exhibit Flow desktop application for one unique device over the subscription period and full access for one unique user to the web (online) application over the subscription period. The account holder shall hold one webapp seat. Desktop application users may choose to have a device(s) deactivated so that a seat may be assigned to a new device, subject to Exhibit Flow, LLC’s discretionary limitations used to prevent abuse (e.g., to prevent users from rapidly toggling seat activations to evade seat/device limitations). Webapp user accounts may also be deactivated (other than the account owner's account), e.g, to free up a seat.

Your subscription will automatically renew at the end of each billing period unless you cancel your subscription before the end of such billing period.

If you add seats during a billing period, you will be charged for the additional seat(s) on a pro rata basis. The subscription price of the new seat(s) will be at the price posted on www.exhibitflowapp.com at the times seats are added. If you remove seats, you will be provided a pro rata credit to be applied against your remaining, ongoing subscription's future charges.

You are responsible for all applicable taxes unless we are legally required to collect them.

Payments shall be processed via Paddle.com Market Ltd. (or a parent, subsidiary, or affiliate thereof) (“Paddle”) and credit card statement thus may reflect charges beginning with the merchant “Paddle”, “Paddle.com,” “Paddle.com Market Ltd.,” or some variation thereof. Paddle shall serve as the merchant of record on all transactions between a subscriber and Exhibit Flow, LLC.

Exhibit Flow, LLC may modify subscription pricing at its sole discretion.

Any price changes will be communicated to the account owner's email address at least twenty-one (21) days prior to the change(s) taking effect.

If you do not agree to the new pricing, you must cancel your subscription prior to the start of the next billing cycle. Failure to do so will result in acceptance of the updated pricing.

In the event that your payment fails, your subscription will be subject to cancellation. However, we may provide a grace period at our discretion where access remains.

Free month and free trial promotions shall, unless otherwise specified, be provided as a credit to your first billing period only and the discount shall be set at the standard monthly subscription price for one seat only (which, for annual subscribers, may mean that the discount exceeds the pro-rated monthly amount for said subscriber). E.g., if the standard monthly price is $4.99 per seat then the promotional discount shall be $4.99. Only one promotional code may be used per customer. In the event of a two months free promotion the discount would be applied to the first two months of a monthly subscription (e.g., $4.99 for each month) or as a discount in the same amount (e.g., $9.98) in the case of an annual subscription. Continuation of a subscription initiated via a free month or free trial promotion past the initial free month(s) mark will result in a paid subscription going forward.
3. Cancellation and Refund Policy

You may cancel your subscription at any time through your account management portal or by contacting support directly.

No refunds will be issued for partial use, unused time, or downgrades (e.g., seat reductions) during a subscription term.

Access to the Software will continue until the end of the current billing period upon cancellation.

In the event that you are unhappy with the software and/or service, you may cancel your subscription and request a refund within 14 days of your subscription beginning (which shall run from the date of account activation) by emailing info@exhibitflowapp.com, and we will provide a refund for good cause shown (a determination of good cause shall be in the sole discretion of Exhibit Flow, LLC and made on a case-by-case basis). We will not process a refund if there is evidence of fraud, refund abuse, or other manipulative behavior. This does not affect your rights as a Consumer in relation to Products which are not as described, faulty or not fit for purpose.
4. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials.

You are also responsible for all activity under your account, including usage by others under your allocated seats.
5. Prohibited Uses
You agree not to:

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.

Bypass, disable, or tamper with licensing mechanisms, authentication systems, or security features.

Use the Software in any manner that could harm, disable, overburden, or impair the application or its services.

Share, lease, resell, or otherwise distribute the Software to third parties unless expressly permitted.

Circumvent any seat or derive restrictions.

Notwithstanding these terms, you may use certain aspects of the software as may otherwise be indicated in the Third_Party_Licenses.txt file provided with the Software (e.g., in the case of certain dependency libraries subject to freer licensing terms).
6. Intellectual Property
All intellectual property rights in the Software, including copyrights, trademarks, and trade secrets, are, to the fullest extent of the law, owned by Exhibit Flow, LLC or its licensors. These Terms do not grant you any ownership rights. However, certain dependencies distributed with the Software were developed by third parties and are subject to the license terms of such dependencies. See the Third_Party_Licenses.txt file for a description of certain of those dependencies.
7. Modifications and Updates
We may update the Software at our discretion, including but not limited to patches, enhancements, or new features. Continued use of the Software after updates constitutes acceptance of the changes.
8. Disclaimer of Warranties
The Software is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties including, but not limited to, merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability

To the fullest extent permitted by law, Exhibit Flow, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, even if advised of the possibility of such damages.

Our total liability in any matter arising out of or related to the Terms is, to the fullest extent of the law, both individually and cumulatively, limited to the greater of (A) US $100; or (B) the aggregate amount that you paid for access to the Services and Software during the three-month period preceding the event giving rise to the liability.

These limitations and exclusions in this section apply to the maximum extent permitted by law even if (A) a remedy does not fully compensate you for any losses or fails of its essential purpose; or (B) Exhibit Flow, LLC knew or should have known about the possibility of damages.

The Terms set forth the entire liability of Exhibit Flow, LLC as well as your exclusive remedy with respect to access and use of the Services and Software.
10. Indemnification
You agree to indemnify and hold harmless Exhibit Flow, LLC, its affiliates, officers, agents, and employees from any claims, damages, liabilities, costs, and expenses (including attorneys' fees) arising out of your use of the Software or your violation of these Terms.
11. Class Action Waiver & Dispute Resolution
You agree that any claims relating to these Terms or your use of or purchase of the Software will be resolved individually and not as part of a class, collective, or representative action. You waive any right to participate in or receive relief from any class or representative proceeding. Any litigation arising from or relating to this agreement shall be filed in the United States District Court for the Eastern District of Pennsylvania, and if jurisdiction does not lie in that court, then the litigation shall proceed in the Court of Common Pleas of Philadelphia County, Pennsylvania. Exhibit Flow, LLC is available to address most concerns that you may have regarding this software. Prior to seeking any judicial relief, you agree to contact Exhibit Flow, LLC to allow the company a full and fair opportunity to timely remedy any purported problems.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania without regard to its conflict of law principles.
13. Data Privacy and Security
13.1 Data Collection and Use

Exhibit Flow, LLC may collect certain personal information from users, including but not limited to: account credentials, contact information, billing information, and usage data.

We may collect this information directly from you when you create an account, use our services, or contact our support team, as well as automatically through your use of the Software.

The information we collect is used to provide, maintain, and improve our services, process payments, communicate with you about your account, and fulfill our contractual obligations.
13.2 Data Storage and Security

We implement and maintain reasonable administrative, technical, and physical safeguards designed to protect your personal information from unauthorized access, disclosure, or use.

While we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security. No method of transmission over the Internet or electronic storage is 100% secure.
13.3 Third-Party Service Providers

We may utilize third-party service providers to assist in delivering our services (e.g., payment processors, hosting providers, analytics tools).

These service providers may have access to your personal information solely for the purpose of performing services on our behalf and are obligated not to disclose or use it for any other purpose.

We do not sell your personal information to third parties.
14. Requirements
The webapp requires 4GB of ram and may be used on Windows or Mac with modern browsers. The native desktop application requires Microsoft Windows 10 or greater to function as well as a CPU of 1.9 GHz or greater and 4 GB of RAM of greater. Further, full use of the desktop application requires Microsoft Word. The desktop app requires a screen resolution of 1400x1050 or greater. Both the desktop and webapp require internet access in order to perform license checks and receive updates.
15. Termination
We may terminate or suspend your access to the Software at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Software will immediately cease.
16. Amendments
These terms may be amended from time to time. We will provide emailed notice to the account holder’s address on file in the event of such changes. Continued use of the Software after such notifications constitutes your acceptance of the updated agreement.
17. Authority
To the extent that you are subscribing to the Software on behalf of an organization, you agree, represent, and warrant that you have authority to do so and are agreeing to the terms and conditions herein on behalf of your organization.
